The agreement, in plain English.
Between Sydex Ltd (company number 17431744, registered office Forton Business Park, Lancaster New Road, Forton, Preston PR3 1AD) and . Read it, then sign at the bottom. It is short on purpose and there is nothing hiding in it.
Part A: the build
1. What you are buying
The finished website and operating system you have already used, moved onto your own domain and set live. What you saw is what you get. Small snags found at go-live are fixed as part of the build. New features beyond what you saw are quoted separately.
2. The price
£2,950, as either one payment or three monthly payments of £985. Or the all-monthly option: nothing upfront, £545 a month for the first 12 months (which includes the care plan), dropping to the standard £295 a month care plan from month 13. If you end the all-monthly option before the first 12 months are up, the build portion for the months remaining (£250 for each remaining month) falls due, and everything is handed over exactly as the exit terms describe: you always own what you have paid towards. Invoices are payable within 7 days. If a payment is late we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. Prices are exclusive of VAT; Sydex is not currently VAT registered, so no VAT is added today. If Sydex becomes VAT registered, VAT is added at the prevailing rate from that point, with notice before it first appears on an invoice.
3. Ownership
Until the build is paid in full, the website and everything in it belongs to Sydex and is licensed to you to use. The moment the build is paid in full, the website, its content and its design transfer to you outright, and we confirm that in writing. Two things we keep: the right to show the work in our portfolio, and the small "Website built by Sydex" credit in the footer, which stays while you are on the care plan.
4. Your domain
Your domain is registered in your name, on your payment method, from day one. It is never ours and we could not hold it hostage if we wanted to.
5. Your content and your claims
You confirm that the photos, logos and text you give us are yours to use, and that the claims we publish about your business (qualifications, registrations, insurance levels, years trading, prices) are true. We publish what you confirm; responsibility for the accuracy of claims about your business stays with you. We flag anything we cannot verify before it goes live.
Part B: the care plan
6. What the monthly fee covers
£295 a month, which is the whole running of the setup: hosting and security, content changes and updates, the search plan worked every month, rankings and AI answers tracked, the performance page updated, your operating system run and maintained, and your data backed up. Fair use applies: it covers the ongoing running and improving of what was built, not a second website or major new features, which are quoted separately.
7. Term and cancelling
The care plan runs for a minimum of 3 months from go-live, then continues monthly. After the minimum you can cancel any time, effective at the end of the paid month. No cancellation fees. Payment is collected monthly by the method we set up together (currently a PayPal subscription); you can cancel the payment authorisation whenever the plan ends.
8. If a payment fails
We will tell you and retry. If care payments stop and are not brought up to date within 30 days, the care plan ends and the leaving terms below apply. We do not delete anything without offering you your data first.
9. What we do not promise
Nobody can guarantee positions on Google or mentions by AI assistants, and we do not. Anyone who promises you rankings is lying to you. What we promise is the work: the plan executed every month and the real numbers shown to you honestly, including when they are bad.
Part C: the running of your system
10. Your data
Everything in your system (jobs, customers, invoices, documents) is your business data. You can ask for a full export to spreadsheets at any time, not just when leaving, and we provide it without charge or drama.
11. Data protection
Your system holds personal data about your customers. For that data you are the controller and Sydex is your processor under UK GDPR. We only process it to run your system on your instructions, we keep it secure, we tell you without undue delay if anything goes wrong, we do not use it for anything else, and when the care plan ends we return it to you and then delete our copy. Each of us complies with data protection law in our own right. You authorise the established providers listed in our privacy policy (hosting, email, forms, payments) as subprocessors; we stay responsible for what they do with your data and will tell you before any change that materially alters where it lives.
Part D: if you leave
12. The exit, defined
- Your domain is already yours. Point it wherever you like.
- You get the complete website code within 7 days, as a copy any web designer can host.
- You get a full export of your data, as above.
- The operating system runs on our platform as part of the care plan, so it stops when the care plan stops. Your records go with you; the machinery does not.
- No exit fees. No hostages.
13. Continuity
If Sydex could not continue trading, you already hold your domain, your credentials and your ownership of the paid-for website, and clause 12 applies as if you had cancelled.
Part E: the legal spine
14. If something goes wrong
Neither of us is liable to the other for loss of profits, loss of business or indirect losses. Our total liability to you under this agreement is capped at the amount you have paid us in the 12 months before the claim. Nothing in this agreement limits liability for death or personal injury caused by negligence, or for fraud.
15. Reasonable service
We provide the services with reasonable skill and care. Where this agreement says we do something without a stated timeframe, we do it within a reasonable time.
16. General
This is the whole agreement between us about the build and the care plan and replaces anything said before it. Changes must be agreed in writing (email counts). Neither of us is responsible for delays caused by things genuinely outside our control. This agreement is governed by the law of England and Wales and the courts of England and Wales have jurisdiction.
